UBS Raises Tender Capacity to About $5.85 Billion
UBS increased the maximum purchase consideration for its tender offers from $4 billion to about $5.85 billion during the process. The bank made the change after receiving strong participation across the eligible senior note series during the offer period. Overall, holders tendered $7.93 billion in combined principal before the September 10 deadline and did not withdraw those securities.
UBS accepted all notes submitted under the Any and All Offers before the expiration time on September 10. Those securities included sterling notes due in 2033 and two separate dollar-denominated senior note series both due in 2028. Accepted principal amounts reached £634.34 million, $186.31 million, and $1.07 billion across those three separate note series in total.
The bank also accepted every valid note submitted under the Maximum Purchase Offers after raising the purchase limit that day. These offers covered six note series with maturities ranging from 2029 through 2033 across multiple major currencies. UBS said the revised limit ultimately satisfied the maximum purchase condition across every eligible series included in the final offer.
UBS Sets September 14 Settlement for Accepted Notes
The tender offers expired at 5:00 p.m. Eastern time on September 10, following their September 2 launch under published terms. UBS scheduled settlement for September 14, when holders will receive cash consideration for each accepted note at settlement. The bank will also pay accrued coupon amounts on accepted notes through the settlement date under the offer.
The accepted securities included notes denominated in dollars, euros, and pounds, reflecting UBS’s broad global debt base across international markets. Exchange calculations used September 10 Bloomberg reference rates for sterling and euro conversions into U.S. dollars for consistency. UBS applied rates of $1.35158 per pound and $1.16126 per euro when calculating the reported combined tender totals across offers.
The transaction supports UBS’s liability management across its senior debt structure and broader global funding profile after the offer. By repurchasing selected notes, the bank can reduce outstanding obligations and adjust the timing and composition of funding. UBS shares recovered pre-market as the completed offer moved toward settlement, when interest will stop accruing on all accepted notes
