Marvell Technology (NASDAQ:MRVL | MRVL Price Prediction) is acquiring Lumentum Holdings (NASDAQ:LITE). The all-stock agreement is reshaping the map of AI data center optics, and both companies are sliding as the market considers the price. Shares of Marvell trade at $190.43 in morning trading, down 3%. Lumentum stock is at $788.51, down 6%, an unusual reaction for a takeover target.
Much of the skepticism arrived before the announcement. Barron’s reported on October 29 that the market disliked the idea of a Lumentum buyout, and Marvell stock fell 10% in the prior session as reports of the talks spread. In that session, Lumentum stock dropped 9%.
Lumentum Trades Below Marvell’s Implied Deal Value
Marvell disclosed on November 2 the deal carries an enterprise value of $115 billion. Under the terms, Lumentum stockholders would receive 4.5 Marvell shares for each share they own, a ratio Marvell said implies $1,132 per share and a 23.9% premium. According to Marvell, its shareholders would own 67% of the combined company and Lumentum’s owners 33%, with closing expected in the first half of calendar 2028.
Both boards approved the deal unanimously; Marvell expects more than $1 billion in annual run-rate cost savings plus a lift to its adjusted earnings per share in the first year after closing. Matt Murphy remains Marvell’s chairman and CEO. He said AI infrastructure is undergoing a fundamental architectural shift toward optical connectivity, “creating an opportunity that comes along once in a generation.” Three Lumentum directors, including CEO Michael Hurlston, would join the Marvell board, the company stated. Bloomberg noted that on an equity basis, it’s the year’s top merger deal and among the largest ever in global tech.
Lumentum stock sits below that implied value. That gap usually reflects doubt about Marvell stock as the deal currency, the long road to closing and antitrust review of one of the largest tech deals ever. AI spending is also under scrutiny after last week’s big tech earnings, including Bloomberg coverage questioning the economics of AI-powered search, which may make the market wary of paying up for AI hardware.
Why Marvell Wants Lumentum’s Lasers
Lasers and optical gear from Lumentum move huge amounts of data between servers and data centers. Earlier this year, Marvell bought photonics maker Celestial AI, and it already buys laser technology from Lumentum while designing custom AI chips for the largest cloud providers. NVIDIA (NASDAQ:NVDA) agreed in March to take a $2 billion stake in Lumentum, Bloomberg reported.
Lumentum released its Q1 FY2027 results alongside the deal, posting revenue of $1.26 billion against Koyfin’s consensus of $1.25 billion. Pump lasers and optical circuit switches led Lumentum’s growth. Michael Hurlston, Lumentum’s CEO, said the company landed a second major near-packaged and co-packaged optics win backed by purchase commitments exceeding $5 billion. He added that optical circuit switches could become a multibillion-dollar annual revenue stream.
Marvell reported preliminary Q3 FY2027 revenue in line with outlook, holding the midpoint at $3.15 billion. The company also tightened its range to plus or minus 2% from the plus or minus 5% it set in August.
Coherent and Applied Optoelectronics Bounce After a Rough Month
Coherent Corp. (NYSE:COHR) stock is at $213.68, up 2%. That gain follows a 25% slide over the past month. One possible read is that a combined Marvell and Lumentum could reshape competition in data center optics, leading investors to rethink Coherent and the other independent suppliers.
Applied Optoelectronics (NASDAQ:AAOI) stock is at $69.15, practically unchanged%. Over the past month, Applied Optoelectronics stock is down 29%, a larger drop than Coherent’s.
How Marvell’s Business Differs From Coherent and Applied Optoelectronics
Marvell is a fabless designer of custom AI processors, optical signal chips and Ethernet switches that relies on partners for manufacturing, and Lumentum owns its indium phosphide laser production, so the merger would put chip design and laser making under one roof.
Coherent runs a vertically integrated photonics portfolio across data center and industrial markets, while Applied Optoelectronics pairs in-house lasers and U.S. transceiver plants with a cable broadband business.
What Comes Next for the Marvell and Lumentum Deal
Marvell must now see whether regulators clear the combination on its expected timeline. Bulls can point to Lumentum’s sold-out laser capacity and Marvell’s deep hyperscaler relationships as a fit that could speed the shift to optical connectivity. The bears see a deal currency that could swing with AI sentiment and a lengthy path to closing.
Shareholders can watch for movement in the gap between Lumentum stock and the implied deal value, along with Marvell’s upcoming earnings report and any confirmation of its Q3 outlook. A cautious approach may make sense until regulatory review of the Marvell and Lumentum deal concludes.
